These Terms & Conditions (“Terms”) constitute a legally binding agreement between you, whether personally or on behalf of an entity (“you”), and Apex Globe Solutions (“we,” “us,” or “our”), concerning your access to and use of www.apexglobesolutions.com (the “Site”) and our managed IT, cybersecurity, cloud, and related services (the “Services”).

1. Acceptance of Terms

By accessing the Site or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you are prohibited from using the Site and the Services and must discontinue use immediately.

2. Eligibility

You represent that you are at least the age of majority in your jurisdiction and have the legal capacity and authority to enter into these Terms, personally or on behalf of the entity you represent.

3. Services and Agreements

Apex Globe Solutions provides managed IT, cybersecurity, cloud, network, print, and help desk services. The specific scope, service levels, deliverables, fees, and term applicable to your business are governed by a separate Master Services Agreement (MSA) and/or Statement of Work (SOW). In the event of a conflict between these Terms and a signed MSA or SOW, the signed agreement controls for the Services it covers.

4. Fees, Billing, and Payment

Fees for Services are set out in your SOW or invoice. Unless otherwise stated, invoices are due upon receipt. Late payments may be subject to interest and suspension of Services as permitted by law. All payments are processed through our third-party payment processors and are also subject to their terms. Refunds and cancellations are governed by our Refund & Cancellation Policy.

5. Acceptable Use

Your use of the Site and Services must comply with our Acceptable Use Policy. You agree not to misuse the Site or Services or assist anyone else in doing so.

6. User Representations

  • You agree to comply with these Terms and all applicable laws;
  • You will not use the Site or Services for any unlawful purpose;
  • You will provide accurate information and keep it current; and
  • Your use will not violate any applicable law, regulation, or third-party right.

7. Intellectual Property

Unless otherwise indicated, the Site and its contents — including source code, software, designs, text, graphics, logos, and trademarks — are owned by or licensed to Apex Globe Solutions and are protected by intellectual property laws. You may not copy, reproduce, or create derivative works without our prior written permission.

8. Third-Party Products and Links

The Services may involve third-party software, hardware, or websites. We are not responsible for third-party products or content, and your use of them may be subject to separate terms.

9. Disclaimers

The Site and Services are provided on an “as is” and “as available” basis. Please review our Disclaimer for important limitations. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the fullest extent permitted by law, in no event will Apex Globe Solutions or its directors, employees, or agents be liable for any indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profits or lost data, arising from your use of the Site or Services, even if advised of the possibility of such damages.

11. Indemnification

You agree to defend, indemnify, and hold harmless Apex Globe Solutions from any claims, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from your use of the Site or Services or your breach of these Terms.

12. Term and Termination

We may suspend or terminate your access to the Site at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Termination of Services is governed by your MSA or SOW.

13. Governing Law

These Terms are governed by the laws of the United States and the state in which Apex Globe Solutions is established, without regard to conflict of law principles. You agree to the exclusive jurisdiction of the courts located there for any dispute not subject to arbitration.

14. Changes to These Terms

We may modify these Terms at any time. Changes are effective when posted, and we will update the “Last updated” date above. Your continued use of the Site or Services constitutes acceptance of the revised Terms.
